End User License Agreement

This End User License Agreement (“Agreement”) governs your use of Panoramic and any related plug-in formats, installers, presets, documentation, updates, licence keys, activation tools, downloads, and support materials together, the “Software”.

The Software is provided by Panorama Audio Labs Pty Ltd, trading as Panorama Audio Labs (“Panorama Audio Labs”, “we”, “us”, or “our”).

By downloading, installing, activating, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software. The Software is licensed, not sold.

1. Licence

After full payment, and subject to this Agreement, we grant one named user a limited, non-exclusive, non-transferable licence to install, activate, and use the Software on up to three devices they control.

You may use the Software in your own music, client work, professional sessions, mixing, mastering, production, and normal studio work.

A paid individual licence is perpetual for the major version purchased. Minor updates for the current major version may be provided at our discretion. Future major upgrades may require a separate purchase, upgrade fee, subscription, or licence.

You may not share, rent, lend, lease, sublicense, resell, distribute, publish, transfer, assign, or make available the Software, licence key, account credentials, activation credentials, installer, or downloads to any other person or entity without prior written approval from Panorama Audio Labs. Licence transfer requests may be considered on a case-by-case basis at our discretion.

Studio, site, educational, institutional, enterprise, multi-user, automated, server-side, cloud, SaaS, or other non-standard use requires separate written licensing. For studio, site, education, or commercial licensing enquiries, contact sales@panoramalabs.com.au.

All rights not expressly granted are reserved by Panorama Audio Labs.

2. Ownership and Restrictions

Panorama Audio Labs retains all rights, title, and interest in the Software, including copyrights, trademarks, trade secrets, source code, object code, algorithms, processing methods, user interface designs, graphics, names, logos, presets, documentation, and other intellectual property.

You may make copies only as reasonably necessary for installation, backup, or permitted use. You may not remove, obscure, or alter proprietary notices.

You may not reverse engineer, decompile, disassemble, decrypt, modify, adapt, translate, derive source code from, or attempt to discover the Software’s source code, algorithms, architecture, processing methods, internal behaviour, or core structure, except to the limited extent such restriction is prohibited by law.

You may not bypass, disable, tamper with, emulate, crack, patch, remove, alter, or circumvent any activation, licence, trial, validation, copy-protection, or security mechanism.

You may not use the Software, its presets, parameters, interface, processing behaviour, measurements, responses, systematically generated results, or related materials to train, fine-tune, develop, test, benchmark, improve, or inform any artificial intelligence system, machine-learning system, neural network, model, dataset, algorithm, audio model, or competing product without our prior written permission.

Nothing in this Agreement prevents ordinary professional use, lawful criticism, general comparison, review, educational discussion, or publication of general observations, provided this does not involve reverse engineering, circumvention, extraction of proprietary assets, or use of the Software to train or develop a competing product or model.

3. Activation, Licensing, and Data

Online activation is required. Activation, validation, licence delivery, account access, downloads, and related entitlement functions may be handled by authorised third-party infrastructure, including Moonbase where applicable.

After successful activation, the Software may operate without internet access for up to thirty days before licence validation is required. The Software may attempt validation approximately every seven days. If validation is not restored after the applicable grace period, some functionality may be restricted until validation succeeds.

During activation and validation, the Software and/or licensing infrastructure may process technical licensing data including licence ID, activation ID, account ID, user name, user email, product ID, device name, device signature or device identifier, operating system, CPU and system information, host/DAW description, plug-in format, IP address, validation timestamp, subscription status, and related technical records. This data is used for licence activation, validation, fraud prevention, activation-limit enforcement, support, security, and administration.

The Software is not designed to collect, upload, inspect, analyse, transmit, or store your audio files, musical content, DAW sessions, project names, filenames, track names, rendered files, or audio processed through the Software.

The Software does not include separate product analytics, advertising tracking, usage telemetry, automatic crash reporting, or session analytics functionality. If you choose to send crash logs, diagnostics, screenshots, sessions, presets, or other files for support, we may use that information to investigate your request.

Personal information is handled in accordance with the Panorama Audio Labs Privacy Policy.

4. Trials

Trial versions may be provided for evaluation. Unless otherwise stated, the trial period is fourteen days.

After a trial expires, existing Software instances saved in existing sessions may continue to load and process audio using their saved settings in a frozen state where technically feasible. New instances, parameter editing, preset changes, and other editing functions may be restricted until a valid licence is activated.

This behaviour is intended to reduce session disruption but is not guaranteed across all DAWs, hosts, systems, plug-in formats, sessions, or future versions. You are responsible for rendering, committing, exporting, and backing up work before a trial expires.

5. Payment and Third-Party Services

Where Moonbase is used as merchant of record, commerce provider, payment provider, licensing provider, or fulfilment provider, Moonbase and/or its payment infrastructure may handle checkout, payment processing, tax handling, billing, account access, licence unlock, activation, downloads, refunds, and file delivery.

Panorama Audio Labs does not directly process, store, or transmit payment card details through its custom website or Software. Payment card details are handled by authorised third-party payment or merchant-of-record infrastructure.

You may not use the Software, its presets, parameters, interface, processing behaviour, measurements, responses, systematically generated results, or related materials to train, fine-tune, develop, test, benchmark, improve, or inform any competing product, artificial intelligence system, machine-learning system, neural network, model, dataset, algorithm, or audio model without our prior written permission.

Third-party services may be subject to separate terms and policies. Panorama Audio Labs does not control or warrant third-party services, including their availability, security, correctness, reliability, compatibility, compliance, tax handling, payment processing, licence delivery, account access, or continued operation, except to the extent required by law.

6. Compatibility, Support, and Refunds

The Software may not operate with every operating system, DAW, plug-in format, hardware configuration, security setting, licensing system, host environment, wrapper, bridge, virtual machine, emulator, network configuration, or future platform update.

You are responsible for confirming that the Software is suitable and compatible before relying on it in professional, commercial, client, production, archival, recall, or delivery-critical work. You are responsible for maintaining backups of your systems, sessions, presets, installers, project files, rendered files, and deliverables.

Support is provided by email only during Panorama Audio Labs’ normal business operations in Melbourne, Victoria, Australia, excluding weekends, Victorian public holidays, and periods of reduced availability. We aim to provide reasonable email support, but support does not guarantee immediate responses, bug fixes, compatibility updates, feature changes, or resolution of every request. – support@panoramalabs.com.au

Because the Software is supplied as a digital product, change-of-mind refunds are generally not offered once a licence has been delivered or activated. Nothing in this Agreement limits any consumer guarantee, right, remedy, or protection that cannot lawfully be limited, excluded, restricted, or modified, including under the Australian Consumer Law. Refunds and payment disputes are handled through the applicable Moonbase platform workflow where Moonbase is the merchant of record or payment/licensing provider.

7. Disclaimer and Liability

Subject to any rights or remedies that cannot be excluded by law, the Software is provided “as is” and “as available”, with all faults and without warranties of any kind.

To the maximum extent permitted by law, Panorama Audio Labs disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, reliability, compatibility, uninterrupted operation, error-free operation, or correction of defects.

To the maximum extent permitted by law, Panorama Audio Labs and its owners, officers, employees, contractors, affiliates, licensors, suppliers, and service providers are not liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, loss of opportunity, business interruption, downtime, data loss, lost sessions, corrupted projects, failed recalls, missed releases, missed deadlines, replacement services, reputational harm, or third-party claims.

To the maximum extent permitted by law, Panorama Audio Labs’ total aggregate liability for all claims arising out of or related to the Software or this Agreement will not exceed the amount you actually paid for the Software giving rise to the claim.

8. Termination and General Terms

We may suspend, restrict, revoke, or terminate your licence if you breach this Agreement, fail to pay, initiate a fraudulent chargeback, share credentials, engage in piracy, circumvent activation, tamper with copy protection, use the Software for prohibited purposes, or otherwise misuse the Software. Upon termination, you must stop using the Software and uninstall it.

You agree to indemnify Panorama Audio Labs and its owners, officers, employees, contractors, affiliates, licensors, suppliers, and service providers against claims, losses, liabilities, damages, costs, and expenses arising from your breach, unlawful conduct, unauthorised use, prohibited commercial processing, AI or machine-learning misuse, piracy, activation circumvention, or other misuse of the Software.

This Agreement is governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, except where mandatory consumer-protection laws provide otherwise.

If any provision is invalid or unenforceable, the remaining provisions remain in effect. This Agreement is the entire agreement between you and Panorama Audio Labs regarding the Software, except where separate written terms have been expressly agreed.
