End User License Agreement

This End User License Agreement (“Agreement”) explains the terms for using Panoramic, including its plug-ins, installers, presets, documentation, updates, licensing tools, and downloads (the “Software”).
The Software is provided by Panorama Audio Labs Pty Ltd, trading as Panorama Audio Labs (“we”, “us”, “our”). Purchases are processed separately by a merchant of record, Moonbase.
By clicking “I Agree” during installation, you agree to these terms. If you do not agree, do not use the Software. The Software is licensed to you, not sold.
1. Your licence
After full payment, we give one named user a limited, non-exclusive licence to install, activate, and use the Software on up to three devices used by or under that user’s control.
You may use Panoramic for your own music and professional work, including client sessions, production, mixing, and mastering.
A paid licence is perpetual for the major version you purchased. It does not expire simply because time passes, but this does not guarantee compatibility, support, or updates forever. Future major versions may require separate payment.
You may not share, rent, lend, sublicense, resell, distribute, transfer, or give another person access to your licence, account credentials, installer, or downloads without our written approval.
2. Ownership and restrictions
We own the Software and its intellectual property. We do not claim ownership of your music, recordings, sessions, client work, projects, or other content you create using Panoramic.
You may make reasonable copies for installation and backup and create or modify your own presets and workflows.
Except where the law says otherwise, you may not reverse engineer, decompile, disassemble, decrypt, derive source code from, or otherwise try to obtain the Software’s protected internal implementation. You may not bypass activation, licence validation, trial limits, copy protection, or security systems, or modify or redistribute the Software without our written permission.
AI, machine learning, and competing products
You may review, compare, demonstrate, benchmark, measure, analyse, discuss, and use Panoramic for genuine education or academic research.
Without our written approval, you may not systematically extract or model Panoramic’s behaviour to train, clone, emulate, or materially develop a competing commercial audio product, AI or machine-learning system, model, dataset, or algorithm.
3. Activation, licensing, and your data
Online activation is required. We may use authorised third-party infrastructure, including Moonbase, for activation, validation, licence delivery, account access, downloads, and related licensing functions.
After activation, Panoramic may operate without internet access for up to thirty days and may check its licence approximately every seven days. If validation is not restored after the grace period, some functions may be restricted.
Where technically possible, an existing instance in a saved project is intended to keep processing its saved settings if licence validation temporarily fails. We cannot guarantee this across all systems or in future versions.
For licensing, security, support, and administration, our authorised systems may process account, licence, device, system, network, DAW or host and validation information.
Panoramic is not designed to collect, inspect, upload, analyse, or store your audio, DAW sessions, project names, filenames, rendered files, or audio passing through the plug-in.
If you send us diagnostic information for support, we may use it to investigate your request. Personal information is handled in accordance with our Privacy Policy.
4. Trials, payments, and third-party services
Unless we say otherwise, a Panoramic trial lasts fourteen days.
When a trial ends, existing instances saved in projects may continue processing their saved settings in a restricted or frozen state where technically possible. New instances or editing may be restricted.
Where Moonbase or another authorised provider handles checkout, payments, taxes, billing, licence delivery, activation, downloads, or refunds, its separate terms may also apply. This Agreement governs your Panoramic licence.
We do not store payment card details directly on our website or in the Software.
5. Compatibility, support, and refunds
Panoramic may not work with every operating system, DAW, plug-in format, hardware configuration, host environment, network configuration, or future platform update.
Before relying on Panoramic for professional, client, archival, recall, or delivery-critical work, please check the published compatibility information and, where practical, test it in your own workflow.
Please also use normal professional safeguards: keep backups of important sessions, project files, renders, installers, presets, and deliverables, and use renders, commits, exports, or versioned sessions where a failed recall would have serious consequences.
Email support is available during our normal business operations in Melbourne, Victoria, Australia at support@panoramalabs.com.au. We aim to provide reasonable help but cannot promise a particular response time or resolution.
Because Panoramic is a digital product, we generally do not offer change-of-mind refunds once a licence has been delivered or activated.
Your legal rights still apply. Nothing in this Agreement removes or limits any consumer guarantee, statutory right, remedy, or protection that the law says cannot be excluded, including rights under the Australian Consumer Law.
6. Software performance and liability
Subject to your mandatory legal rights and any specific promise we make about Panoramic, we cannot guarantee that the Software will suit every workflow, work with every system, run without interruption or error, remain compatible with future technology, or be completely free from defects.
To the maximum extent the law allows, we are not responsible for indirect or consequential loss arising from the Software or this Agreement. This may include loss of profit, revenue, opportunity, business interruption, downtime, missed deadlines or releases, reputational loss, or substitute-service costs where that loss is legally indirect or consequential.
A loss is not automatically excluded simply because it falls into one of those categories if it is legally a direct loss or the law does not allow us to exclude liability for it.
Our total liability to you for claims arising from the Software or this Agreement is limited to the greater of the amount you paid for the Software that gave rise to the claim or US$250.
7. Suspension, termination, and deliberate misuse
We may suspend or terminate a licence for a material breach of this Agreement.
If the issue can reasonably be fixed and does not involve deliberate misuse, fraud, piracy, credential sharing, licence or security circumvention, or prohibited AI or machine-learning use, we will give you notice and a reasonable opportunity to fix it before terminating a paid licence.
We may temporarily suspend licensing functions while reasonably investigating suspected fraud, unauthorised licence sharing, piracy, a security threat, or deliberate interference with licensing.
If a licence is validly terminated, you must stop further licensed use. Existing project instances may, where technically feasible, continue processing saved settings in a restricted state to maintain session continuity. That does not reinstate the licence.
If your deliberate misuse of Panoramic causes a third-party claim against us, you are responsible, to the extent permitted by law, for reasonable external losses, liabilities, and legal costs directly caused by that misuse. This includes unauthorised redistribution, deliberate circumvention of licences or security measures, prohibited extraction or cloning, unlawful infringement of third-party rights, fraud, or other deliberate unlawful use.
8. Governing law and general terms
This Agreement is governed by the laws of Victoria, Australia.
To the maximum extent permitted by law, disputes relating to this Agreement or the Software must be brought in the courts of Victoria, Australia.
This Agreement covers your licence to use Panoramic. Separate merchant-of-record purchase terms may apply, and our Privacy Policy explains how personal information is handled.
